1. Acceptance of these Terms
By accessing or using msjdesignstudio.com, submitting an inquiry, scheduling a consultation, or otherwise interacting with the website, you agree to these Terms of Service and our Privacy Policy.
If you do not agree, please do not use the website. If you engage MSJ Digital Design for paid services, a separate proposal, statement of work, invoice, or client services agreement may also apply.
2. Website use
The website is provided for general information about MSJ Digital Design and our services. You may not use the site to:
- Violate any law or the rights of another person or business.
- Attempt to gain unauthorized access to the website, accounts, systems, or data.
- Introduce malicious code, scrape the site in a manner that interferes with operation, or disrupt website performance.
- Copy, reproduce, republish, or commercially exploit website content except as permitted by law or with written permission.
We may modify, suspend, or discontinue any portion of the website at any time.
3. Services, estimates, and project agreements
MSJ Digital Design provides creative services that may include website design, video editing, social media design, AI-assisted creative services, and related production or design work.
Website descriptions, examples, estimates, and initial discussions are informational and do not create a binding commitment to perform services. The specific scope, deliverables, schedule, fees, payment terms, revision limits, ownership terms, and other project requirements should be stated in the applicable proposal, statement of work, invoice, or written client agreement.
No online checkout: msjdesignstudio.com is primarily an inquiry and portfolio website. Services are not purchased through an automated website checkout unless we expressly add that functionality in the future.
4. Client materials and responsibilities
If you provide logos, photographs, footage, music, copy, trademarks, data, fonts, software, credentials, or other materials for a project, you represent that you have the rights and permissions necessary for us to use them as instructed.
You are responsible for the accuracy, legality, and completeness of client-supplied materials and for timely approvals, feedback, access, and decisions needed to complete the work. Delays in client feedback or required materials may affect project timelines.
5. Revisions, refunds, and cancellations
Revisions
Revision rounds, if included, will be described in the applicable project scope or proposal. Requests that materially change the approved direction, add new deliverables, or exceed the included revision allowance may require additional fees and may extend the project timeline.
Cancellations
Project cancellations should be provided in writing. Unless a separate agreement states otherwise, the client remains responsible for amounts attributable to work already performed, reserved production time, approved expenses, and non-cancellable third-party costs incurred through the effective cancellation date.
Refunds
Refund eligibility, if any, is determined by the applicable project agreement, the stage of work completed, and costs already incurred. Deposits or retainers may be non-refundable where the project agreement states they secure production time or cover work already performed. There is no automatic right to a full refund after work has begun.
If a signed proposal, invoice, or services agreement includes different revision, cancellation, or refund terms, that written project-specific agreement controls.
6. Intellectual property
The website, its design, text, graphics, layouts, visual systems, code, and original content are owned by or licensed to MSJ Digital Design and are protected by applicable intellectual property laws.
Ownership and license rights for client deliverables are determined by the applicable project agreement. Unless expressly assigned in writing, MSJ Digital Design retains ownership of our pre-existing materials, methods, templates, tools, code libraries, production systems, prompts, workflows, know-how, and reusable techniques used to create the work.
Nothing on the website grants a license to use the MSJ Digital Design name, branding, portfolio work, or other protected content without permission.
7. Portfolio and promotional rights
Unless otherwise agreed in writing, once a project has been publicly launched, published, or otherwise made public by the client, MSJ Digital Design may display completed or approved work in our portfolio, website, social media, award submissions, presentations, sales materials, and case studies for the purpose of showing our capabilities.
We may identify the client or brand in connection with that work where appropriate. We will not intentionally publish confidential, unreleased, or embargoed client materials in violation of a written confidentiality obligation.
If a project must remain private or cannot be shown in our portfolio, that restriction should be agreed to in writing before publication or delivery.
8. AI-assisted creative work
MSJ Digital Design may use AI-assisted tools for ideation, visual development, image generation, editing, prompt systems, research support, copy support, workflow automation, or other creative production tasks where appropriate.
- AI is used as a creative tool and does not replace human direction, selection, editing, or judgment.
- AI-generated or AI-assisted elements may not be unique and similar outputs may be generated for others.
- The legal status and copyrightability of certain AI-generated elements may vary by jurisdiction and may change over time.
- Clients should not provide confidential, regulated, or highly sensitive information for use with AI tools unless the handling of that information has been discussed and agreed upon.
Where a project requires specific restrictions on AI usage, those restrictions should be included in the applicable written project agreement.
9. Third-party services and platforms
Our website or services may rely on or link to third-party platforms such as Calendly, Google Analytics, WordPress, hosting providers, social platforms, stock or creative libraries, AI providers, and other software or services.
We do not control third-party websites, availability, policies, security, or changes to third-party services. Your use of third-party services may be subject to separate terms and privacy policies.
10. Disclaimers
The website and its content are provided on an “as is” and “as available” basis to the fullest extent permitted by law. We make no guarantee that the website will always be uninterrupted, error-free, secure, or free of harmful components.
Examples, mockups, case studies, concepts, or portfolio items are intended to demonstrate creative capabilities. Unless expressly stated, we do not guarantee any specific business result, conversion rate, traffic level, social performance, ranking, revenue increase, or other outcome from using our website or services.
11. Limitation of liability
To the fullest extent permitted by law, MSJ Digital Design and its owners, team members, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of the website.
Any liability relating to paid client services will be governed primarily by the applicable signed project agreement. Nothing in these Terms excludes liability that cannot legally be excluded or limited.
12. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless MSJ Digital Design and its affiliates from claims, damages, liabilities, and reasonable costs arising from your unlawful use of the website, your violation of these Terms, or materials you provide that infringe or violate the rights of a third party.
13. Governing law
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Unless a project-specific written agreement states otherwise, disputes relating to these Terms or use of the website will be brought in a court of competent jurisdiction located in King County, Washington, and the parties consent to that venue and jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. Changes become effective when posted on the website unless a later effective date is stated. The “Last updated” date at the top of the page will show the most recent revision.
